Topout Tech, LLC — Acceptable Use Policy

What this means (plain English)

• Use the apps for real construction work, honestly and lawfully. Don't poke at security, don't access data that isn't yours, don't upload malware or content you have no right to.
• SubGrade ratings are your firm's professional opinions, based on your firm's actual records and experience. Enter them in good faith.
• Don't use evaluations to defame, retaliate, or settle scores. Stick to professional, work-related facts and opinions.
• Ratings stay inside your firm. There is no cross-firm sharing today, and none will happen unless your firm explicitly opts in later.
• If someone sues over content your firm submitted, that's on your firm (you indemnify us) — the Terms of Service spell this out.
• We can remove content or suspend accounts that break these rules.

1. General rules

When using the Service you must not:

• violate any law, or use the Service to further any unlawful activity;
• upload or share content you have no right to share, including material that infringes intellectual-property rights or that you hold under confidentiality obligations you would breach by uploading;
• misrepresent your identity, employer, or authority, or invite people into a workspace they have no legitimate business in;
• probe, scan, or test the vulnerability of the Service; bypass or attempt to bypass authentication or authorization; or access data of another firm, project, or user that the Service has not granted you;
• introduce malware or other harmful code, or interfere with the integrity or performance of the Service (including load that is abusive or clearly beyond ordinary business use);
• scrape, harvest, or bulk-export data you do not own or administer, or resell or provide the Service to third parties outside your firm's ordinary business use;
• use the Service to send spam or unsolicited communications.

2. Content rules

You are responsible for content you or your users submit. Submit information you believe in good faith to be accurate; correct material errors when you learn of them. Content that is unlawful, harassing, discriminatory, or that contains someone else's sensitive personal information without authority is prohibited.

3. SubGrade evaluations — specific terms

SubGrade lets your firm record subcontractor performance evaluations. These terms apply to every evaluation, rating, and comment ("Ratings") your firm submits:

1. Ratings are your firm's opinions. Ratings are the submitting customer's own professional assessments and opinions, based on the customer's records of and experience with the rated subcontractor. Topout does not author, endorse, verify, or adopt Ratings.
2. Good-faith accuracy warranty. Your firm warrants that Ratings are submitted in good faith, reflect the firm's genuine assessment, and are based on business records or first-hand project experience your firm actually has.
3. Professional scope only. Ratings must address business and project performance (quality, schedule, safety, coordination, and the like). Do not include personal attacks, discriminatory remarks, allegations of crimes, or non-work information about individuals.
4. No retaliatory or manipulated Ratings. Do not use Ratings to retaliate over disputes unrelated to performance, to defame, or to manipulate rankings (for example, duplicate or sham evaluations).
5. Visibility. Ratings are visible only within the firm that submitted them. Topout does not publish Ratings, show them to the rated subcontractor, or share them with other customers. Any future cross-firm benchmarking or sharing program would be opt-in only, under a separate, explicit consent from your firm, and this policy would be updated first. (Aggregated, de-identified statistics under Section 6 of the Terms of Service never identify your firm, any individual, or any rated subcontractor.)
6. Indemnity. As set out in Section 17 of the Terms of Service, your firm indemnifies Topout against third-party claims arising from Ratings or other content your firm submits.

4. Enforcement

We may remove or restrict access to content, suspend accounts or workspaces, or terminate access for violations of this policy, with notice where practical. We may report unlawful activity to authorities. To report a violation or dispute content, contact support@topout.build with enough detail for us to locate the content.

5. Changes

We may update this policy as the Service evolves; material changes follow the change process in the Terms of Service.
